Strategic priorities
On the August 5, 2026 earnings call, Joyner framed the goal as becoming America's most trusted health care company and named the work behind it: Aetna margin recovery, becoming the provider partner of choice, the Caremark move to net cost pricing models, and a direct-to-consumer GLP-1 offering that covers every FDA-approved GLP-1. A pitch tied to one of those named programs lands with a sponsor who already owns a target for it.

The 2025 annual bonus plan weighted adjusted operating income at 60%, the adjusted SG&A ratio at 20% and Net Promoter Score at 20%, and funded at 142.3%. The 2025 to 2027 performance shares weight three-year cumulative adjusted EPS at 70%, with the remaining 30% split evenly across debt paydown, the share of Medicare members in 4+ Star plans, and the share of customers using two or more CVS Health offerings. Spending and capital plans
Gross capital expenditures were about $2.8 billion in 2025, and roughly 77% went to technology, digital and other strategic initiatives. CVS Health spent $1.54 billion on property and equipment in the first half of 2026, and management repeated a commitment made in 2025 to invest more than $20 billion in technology over the next decade. The 2026 outlook assumes no share repurchases, which leaves cash flow pointed at debt reduction and operating investment.

Acquisitions and integrations
In May 2025 CVS Health agreed to buy the prescription files of certain Rite Aid pharmacies and to acquire and operate certain Rite Aid stores in Idaho, Oregon and Washington for $465 million, with closings completed in the third quarter of 2025. The same year it divested its Medicare Shared Savings Program operations to Wellvana Health (March), deconsolidated Omnicare (September), and recorded a $5.7 billion goodwill impairment on the Health Care Delivery unit built from the 2023 Oak Street Health and Signify Health deals. Technology and AI initiatives
CVS Health began a targeted launch of its Health 100 platform and HIO, an AI-powered consumer assistant, in July 2026. Aetna's AI-enabled Claims Assist Manager is expected to cut claims processing time by more than 20%, and 83% of Aetna prior authorizations are approved in real time. In retail pharmacy, conversational AI has absorbed hundreds of millions of calls and freed about 1 million pharmacist hours, according to the call. Management describes the company as moving toward a consumer health care technology business.

Risk factors and pressure points
The 10-K leads its risk list with the difficulty of forecasting health care and benefit costs, and it flags state laws that could bar pharmacy licenses for pharmacies affiliated with a PBM. On the August call, management said it is challenging laws in Arkansas and Tennessee, expects 340B program pressure to be a 2027 headwind, and expects Caremark membership to decline in 2027. CVS Health says it assesses the cybersecurity risk profiles of key third parties, and its own systems are assessed against HIPAA, NIST 800-53, SOC 1, SOC 2 Type 2, HITRUST, PCI DSS and National Association of Insurance Commissioners standards. A vendor holding SOC 2 Type 2 and HITRUST evidence before procurement asks for it shortens the review.

Who owns security and data decisions
The Chief Information Security Officer reports to the Chief Experience and Technology Officer (Tilak Mandadi), who reports to the CEO. The board's Audit Committee, chaired by Fernando Aguirre, oversees cybersecurity, privacy and information governance and gets CISO and CETO briefings at least bi-quarterly. Brian Newman became CFO on May 12, 2025, replacing Thomas F. Cowhey. Joyner added the board chair role on January 1, 2026, Roger N. Farah retired from the board at the May 14, 2026 annual meeting, and John E. Gallina joined the board in March 2026. Larry M. Robbins left the board on August 13, 2026, and Teresa A. Heitsenrether joins on November 18, 2026. Siddharth Tenneti currently leads Pharmacy and Consumer Wellness on an interim basis. Systems and business transformations
The Q2 2026 10-Q reports no material change in internal control over financial reporting. The operating changes are in pricing models: CVS Pharmacy completed its move to cost-based reimbursement (CVS CostVantage) across several businesses in 2025, and Caremark is moving clients to net cost pricing. On the call, Joyner said infrastructure changes are under way in care delivery to speed data sharing with providers and payers.

Shareholder pressure
The 2026 proxy carried a stockholder proposal to let holders of 10% of shares request a record date for action by written consent, down from the current 25%. The board recommended against it, noting stockholders rejected substantially identical proposals in 2021 and 2025.
