What GM's filings tell sellers
General Motors strategic priorities
GM's 10-K describes a plan to invest across gas-powered vehicles, EVs, hybrids, personal autonomous driving and software-enabled services, with full-size trucks and SUVs generating the cash that funds it. In 2025 GM committed about $4.0 billion over two years to move production into plants in Tennessee, Kansas and Michigan, plus nearly $1.0 billion for next-generation V8 engines in New York. A proposal tied to one of these programs gives a GM buyer a funded initiative to point to.
The full Databahn report connects each priority to the executives and programs that own it.
What GM's executives are paid to deliver
GM's 2025 annual bonus was weighted 35% on EBIT-adjusted, 25% on adjusted automotive free cash flow, 25% on EV variable cost improvement, 10% on software and services delivery and 5% on autonomous vehicle goals, with a safety modifier of plus or minus 5 points. It paid out at 118% of target. Performance share units for 2025 through 2027 are scored entirely against other automakers on shareholder return, operating cash flow as a share of revenue, and EBIT margin. Sellers who frame value in cost, cash and software delivery speak the language GM leadership is scored in.
The full Databahn report maps each metric to the executive who owns it and the questions that open that conversation.
GM spending and capital plans
GM expects capital spending plus battery joint venture investment of $10.0 billion to $12.0 billion in 2026, after $9.3 billion of property expenditures in 2025. Research and development expense was $8.5 billion in 2025. On the Q2 2026 call, management said it is spending $1.0 billion to $1.5 billion this year to onshore production, strengthen the supply chain and expand software capabilities. Those are the budgets a GM proposal competes for.
The full Databahn report shows where that spending lands and who approves it.
GM acquisitions, joint ventures and integrations
In February 2025 GM bought out the minority holders of Cruise, wound down the robotaxi business and moved its autonomous engineering into GM North America. In May 2025 GM lent $1.8 billion to Ultium Cells LLC, its battery joint venture with LG Energy Solution, to prepay a Department of Energy loan. On the Q2 2026 call, management described a sodium-ion battery partnership with Peak Energy and expanded memory supply work with Micron. Each integration creates new owners for systems, data and supplier decisions.
The full Databahn report identifies who runs each integration and what it needs next.
GM technology and AI initiatives
Super Cruise, GM's hands-free driver assistance system, covers more than 600,000 miles of compatible roads in the U.S. and Canada, and GM plans to make it standard on high-end Silverado and Sierra trims, an estimated 160,000 added units. Mary Barra told analysts that about 22 million vehicles received an over-the-air update for Gemini, that GM uses simulation and AI to catch quality problems earlier, and that the eyes-off, hands-off system planned for 2028 is on track. Deferred revenue from OnStar services, including Super Cruise, stood at $6.3 billion at the end of Q2 2026. Vendors whose products touch software, data or validation have a named program to attach to.
The full Databahn report names the leaders behind each program and the tools already in place.
GM risk factors and pressure points
GM's 10-K names tariffs, EV demand, competition in China, cybersecurity, data privacy and supplier disruption among its material risks. The company now estimates a 2026 tariff impact on EBIT-adjusted of $2.5 billion to $3.5 billion, and the primary agreement for its China joint ventures expires in 2027 and is under negotiation. GM has accrued $0.5 billion for investigations and litigation tied to its former OnStar Smart Driver product. A product that cuts one of these exposures gets a faster hearing.
The full Databahn report ranks these pressures by the executive who carries each one.
How vendors get approved at GM
GM's 10-K says cybersecurity risks are managed across GM, GM Financial, data processors, suppliers, dealers and vendors, through a third-party risk management process meant to limit production disruption and protect the integrity of components and systems. Sourcing follows a "buy where we build" principle that favors a North American supply chain. GM's Supplier Code of Conduct requires suppliers to uphold international human rights conventions and pass the same expectations to their own suppliers. Sellers who prepare for security, sourcing and conduct review early shorten the path to a purchase order.
The full Databahn report outlines the review steps a new vendor should expect.
Who owns security and data decisions at GM
The board's Risk and Cybersecurity Committee, chaired by Judith A. Miscik, oversees GM's cybersecurity program. GM's Chief Information Security Officer, in the role since December 2024 with more than 20 years of experience, leads the cybersecurity organization and reports to that committee. A Cybersecurity Management Board draws senior leaders from Software and Services, Product Development, Information Technology, Manufacturing, Finance, Communications, Human Resources, Legal and Public Policy. In 2025 the committee oversaw the integration of IT and cybersecurity under one organization.
The full Databahn report names the security and IT leaders below the board level.
GM leadership changes
Sterling J. Anderson joined in May 2025 as Executive Vice President, Global Product and Chief Product Officer, a new role at GM, after co-founding Aurora Innovation. Grant M. Dixton and Rory V. Harvey moved into their current roles in 2024. In 2025 the board rotated committee chairs, with Wesley G. Bush taking Audit, Devin N. Wenig taking Executive Compensation and Judith A. Miscik taking Risk and Cybersecurity. Arden Hoffman was promoted to Executive Vice President and Chief People Officer in July 2026 (GM leadership bio), and Lin-Hua Wu became Executive Vice President and Chief Marketing and Communications Officer in July 2026 (LinkedIn). Jonathan McNeill stepped down from the board at the June 2, 2026 annual meeting (GM Authority). New leaders often review incumbent vendors in their first year.
Databahn's full report tracks each new leader's mandate and early priorities.
GM systems and business transformations
GM recorded $7.9 billion of charges in 2025 and $3.4 billion more in the first half of 2026 to resize its EV capacity and manufacturing footprint, and says it has substantially completed the material cash charges. Other recent programs include the Cruise robotaxi wind-down, a headquarters relocation, China joint venture restructuring and preparation to move Escalade production to Orion Assembly. The Q2 2026 10-Q reports no changes to internal control over financial reporting during the quarter. Footprint and organization changes on this scale open new process and systems needs.
The full Databahn report shows which transformations are still open and who leads them.
Shareholder pressure on GM
The 2026 proxy included two shareholder proposals: one asking GM to separate the Chair and CEO roles, and one requesting a report on human rights standards for Indigenous Peoples across its operations and supply chain. The board recommended a vote against both. A third proposal was excluded after the SEC agreed not to object. Say-on-pay support in 2025 exceeded 90%. These themes show where investors are pressing management.
The full Databahn report links investor pressure to the internal owners who respond to it.
GM locations by territory
As of December 31, 2025, GM had 50 U.S. manufacturing plants and parts facilities in 19 states, including 11 vehicle assembly plants, and operations in 33 countries. Major facilities outside the U.S. are in Canada and Mexico (GMNA) and in Brazil, China and South Korea (GMI). The dealer network counted 4,566 outlets in North America and 6,276 internationally, and GM Financial operates 32 facilities, 20 of them in the U.S. Territory teams can use these counts to size a GM opportunity by region.
Databahn's full report pairs each region with its operating leaders.
What GM management told analysts
On July 21, 2026, GM raised its 2026 guidance to EBIT-adjusted of $14 billion to $16 billion, EPS-diluted-adjusted of $12 to $14 and adjusted automotive free cash flow of $9.5 billion to $11.5 billion. Management said the next-generation Chevrolet Silverado and GMC Sierra reach showrooms in December, GM Defense expects close to $700 million of revenue in 2026, and GM Insurance is available in 21 states. Barra told analysts she expects 2027 to be stronger than 2026. Public commitments like these set the deadlines GM teams work against.
The full Databahn report turns each commitment into a timing signal for outreach.
