Strategic priorities
NVIDIA’s 10-K lists five business strategies, starting with advancing its accelerated computing platform and extending its technology and platform leadership in AI. On the August 26, 2026 call, management said customers outside the hyperscalers (AI clouds, sovereigns, industrial and enterprise buyers, reported as ACIE) will make up roughly half of the data center business, and that Vera Rubin production shipments began in August. A pitch tied to one of these named priorities gets a hearing faster than a pitch about a product category.

What NVIDIA’s executives are paid to deliver
Fiscal 2026 cash bonuses paid on revenue (base goal $130.0 billion, stretch $160.0 billion), and single-year PSUs vested on non-GAAP operating income (base goal $71.0 billion). NVIDIA reported $215.9 billion and $137.3 billion, so every named executive earned the maximum payout. Multi-year PSUs track three-year total shareholder return against the S&P 500, and 96% of the CEO’s fiscal 2026 target pay depended on performance. Sellers who frame value in revenue and operating income speak the language leadership is measured in.

Spending and capital plans
Capital expenditures were $6.1 billion in fiscal 2026, and NVIDIA expects to spend more in fiscal 2027. As of July 26, 2026, supply and capacity commitments stood at $279 billion, up from $119 billion a quarter earlier, inside $366 billion of total future commitments that also include $29 billion of cloud service agreements, $25 billion of data center leases not yet started, $25 billion of equity investments and $8 billion of capital expenditures. NVIDIA issued $25.0 billion of senior notes in June 2026. Commitments at this scale mean multi-year purchasing decisions in supply chain, facilities and cloud are being made right now.

Acquisitions and integrations
In December 2025 NVIDIA signed a non-exclusive license for Groq’s language processing unit technology and hired certain Groq employees, recording $14.4 billion of goodwill and a $2.5 billion intangible asset; it paid $13.0 billion at closing with $4 billion due within a year. NVIDIA acquired an unnamed company on May 15, 2026 (926,447 shares, about $209 million), and held $99 billion of equity investments with $25 billion more committed as of July 26, 2026. The 2020 Mellanox acquisition added networking. Every deal brings teams and systems that have to be folded in.

Technology and AI initiatives
Programs named in the filings and on the call include Blackwell Ultra, the Vera Rubin platform, the standalone Vera CPU, Groq 3 LPX, NVIDIA AI Enterprise (NIM, NeMo and AI Blueprints), the Nemotron, Cosmos and GR00T open models, Omniverse, DRIVE Hyperion and NVLink Fusion. Management also said growing internal use of AI tools is one reason fiscal 2027 operating expenses will rise in the low 50s percent. Risk factors and pressure points
The 10-K says NVIDIA was effectively foreclosed from China’s data center compute market at the end of fiscal 2026. Export rules led to a $4.5 billion H20 charge in fiscal 2026 and a $0.4 billion H200 charge in the first half of fiscal 2027. Other named pressures include a supply chain concentrated in Asia, memory prices that management said rose more than it expected, one direct customer at 16% of Q2 fiscal 2027 revenue, and counterparty exposure from guarantees and commitments. A vendor who reduces one of these exposures has a reason to get the meeting.

How vendors get approved
Under 10-K Item 1C, NVIDIA runs a vendor risk assessment process: suppliers receive questionnaires scaled to the sensitivity of the data they handle, their privacy and security controls are reviewed, and high-risk suppliers are routinely assessed against ISO 27001, ISO 28001 and C-TPAT. NVIDIA’s own security program generally follows ISO 27001. Vendors who arrive with those answers ready move through review faster.

Who owns security and data decisions
The board retains oversight of information security. The Audit Committee, chaired by A. Brooke Seawell, reviews security policies and internal controls and receives regular updates from the Chief Security Officer, who reports to NVIDIA’s Senior Vice President of Software Engineering. A cross-functional executive team meets regularly on cyber threats, and the Nominating and Corporate Governance Committee oversees trade compliance and regulatory matters. Security decisions run through software engineering, with the Audit Committee above them.

Leadership changes
The fiscal 2026 10-K and 2026 proxy name Ajay K. Puri as Executive Vice President, Worldwide Field Operations. Puri has since retired, and NVIDIA’s investor site now lists Nick Parker in that role; Parker joined NVIDIA in August 2026. Suzanne Nora Johnson, retired Vice Chairman of The Goldman Sachs Group, joined the board effective July 13, 2026, raising it to 11 members. Earlier board changes: Ellen Ochoa resigned in July 2025, Robert K. Burgess died in December 2025 and Persis S. Drell resigned in January 2026. New leaders are easiest to reach before their priorities harden.

Systems and business transformations
NVIDIA is continuing a phased upgrade of its enterprise resource planning (ERP) system to update core financial systems, disclosed in Item 9A of the 10-K and Item 4 of the Q2 fiscal 2027 10-Q. The 10-K adds that new ERP accounting functionality is being designed and implemented. In the first quarter of fiscal 2027 NVIDIA also changed how it presents revenue, moving to Data Center and Edge Computing market platforms. Shareholder pressure
Four shareholder proposals were on the June 24, 2026 ballot: a simple majority vote standard, a report on faith-based community resource groups, a report on workforce civil liberties, and disclosure of greenhouse gas emissions from the use of sold products. The board recommended against all four. On emissions, NVIDIA said it plans to add use-of-sold-products emissions to its Scope 3 reporting and already has reduction targets validated by the Science Based Targets initiative. On August 26, 2026, management guided third-quarter fiscal 2027 revenue to $108 billion, plus or minus 2%, and gross margin to 74%, plus or minus 50 basis points, with margins expected to bottom at 71% to 72% in the fourth quarter because of memory costs. It gave a preliminary outlook of about 70% revenue growth in fiscal 2028, called that outlook supply-constrained, and expects CPU revenue to more than double that year. No China data center compute revenue is in the outlook. The next earnings call is scheduled for November 17, 2026. Cost and supply proposals line up with what leadership just told investors.
